Major Shell, BG shareholder expresses support for $53 bln merger
In advance of completion of its recommended combination with BG Group, Shell on14 December 2015 announced further details of the proposed operational and administrative restructuring under consideration.

Shell said the deal would enhance its cash flow and its ability to maintain dividends even as oil prices are expected to stage a slow recovery from 11-year lows.
One significant Shell shareholder said: “In the medium to long-term this is a good deal”.
David Cumming, head of equities at Standard Life Investments, last Monday warned that the deal did not make “financial sense” with the price of oil at current levels. The highest target price is GBX 41.25 while the lowest target price is GBX 17.62.
One of the biggest investors in BG Group (LSE: BG.L – news) has sold nearly £100m of shares in the oil and gas business in the past week, raising questions about its view of the company’s £55bn takeover by Royal Dutch Shell (Xetra: R6C1.DE – news). That should help clear the way for the merger of the two energy giants.
ABN Amro Bank N.V. now has a GBX 2097.25 target price on the 200.49 billion GBP market cap company or 43.25 % upside potential.
The takeover deal, which offered a 50 percent premium to BG’s April 7 share price and was worth $70 billion then, includes a cash payment, which Shell plans to cover by increasing its debt.
The companies said in a regulatory statement that Reading, England-based BG is today seeking the approval of the High Court to publish shareholders documents on Tuesday.
Court approval is expected on Tuesday, the companies said, followed by the publication of BG’s scheme document and the Shell shareholder prospectus.

Following shareholder approval, the delisting of an acquired company’s shares typically takes about 10 working days. That figure combines the projected spending of Shell and BG Group, the British gas producer it expects to purchase next year.
