AT&T becomes largest pay TV provider with acquisition of DIRECTV

Now that AT&T has finally closed its $48.5 billion purchase of DirecTV, the big question is how will the carrier leverage its prize satellite TV asset? AT&T plans to provide an updated 2015 financial guidance in the coming weeks.

In her statement on the order, Commissioner Jessica Rosenworcel called on the FCC to look into the issue of access to programming outlets, making the point that that important issue was not the subject of any conditions in the deal-as a few, including the American Cable Association-had pushed for.

Wood noted that the merger would create a single company providing TV service to a quarter of the country. The agency said the fiber network requirement will help Internet video competitors reach customers. However, AT&T may continue the discounted integrated bundled services of video and high-speed Internet.

AT&T claims the FCC’s findings and proposed fine are baseless.

Instead, FCC Chairman Tom Wheeler and his colleagues viewed AT&T’s deal as a vehicle to tackle one of their highest priorities: improving the nation’s high-speed internet network. A methodology to measure the Internet traffic exchange performance will be developed by AT&T along with an independent expert.

Being regulated generally means companies usually get to do whatever they set out to do as long as they couch it in high-blown terms and persuade enough supposed public interest advocates to testify on their behalf. But it comes at a time when subscriber-based TV – whether cable or satellite – has been losing customers. The combined entity will boast about 26 million customers. To ensure that the merger didn’t run away with the public’s money, the FCC imposed several conditions that must be met by the huge telecommunications company. The changes will drive $2 billion toward the effort, including funding for Wi-Fi in schools.

AT&T’s requests come as the company moves its network to an all-IP infrastruture.

Most of these synergies will result from a significant reduction in content costs. Exactly what AT&T sees in DirecTV will likely not be known for some time, but there can be little doubt that professional football is at least a part of the appeal. This condition also responds to the harm of the loss of a video competitor in areas where AT&T and DIRECTV had directly competed before the merger by providing a pathway for increased competition from services that rely on broadband Internet to deliver video.
